1. Acceptance of Terms By accessing the NeoPepp website, requesting research dossiers, or procuring compounds, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the website or services. These Terms constitute a binding agreement between you (“you,” “researcher,” “user”) and NeoPepp (“NeoPepp,” “we,” “us,” or “our”).
2. Eligibility & Research-Use Restriction NeoPepp compounds are supplied strictly for in vitro research and analytical characterization purposes. By procuring any NeoPepp compound, you represent and warrant that:
You are at least 18 years of age and legally competent to enter binding agreements.
You are an independent researcher, academic investigator, institutional researcher, or contract research entity.
You will use the procured compounds exclusively for in vitro and analytical laboratory research.
You will not administer, ingest, inject, apply topically, or otherwise introduce NeoPepp compounds into any human or veterinary subject.
You will not resell, redistribute, or transfer NeoPepp compounds for human or veterinary consumption.
You will comply with all applicable laws, regulations, and institutional policies governing research compound procurement and handling in your jurisdiction.
3. No Therapeutic Claims NeoPepp does not claim that any compound supplied is safe, effective, or approved for the diagnosis, treatment, cure, prevention, or mitigation of any human or animal disease, condition, or symptom. No NeoPepp compound is approved by Health Canada, the U.S. Food and Drug Administration, the European Medicines Agency, or any other regulatory authority for human or veterinary therapeutic use. Information published in the NeoPepp library, including stratified literature reviews and compound dossiers, is for research and educational reference only. It does not constitute medical advice, treatment guidance, or recommendation for human use.
4. Product Imagery & Packaging Disclaimers All product images, vial renderings, packaging photographs, and related visual assets on the NeoPepp website are rendered or staged for illustrative purposes. Actual products supplied may differ in:
Vial format, size, or geometry
Label design, color, or layout
Cap style, seal type, or closure mechanism
Batch labeling, QR code placement, or batch identifier format
Packaging materials, insulation, or shipping container Specifications, dosing concentrations, and vial volumes shown are representative only and subject to supplier confirmation per batch. NeoPepp reserves the right to substitute equivalent specifications based on supplier availability and manufacturer batch.
5. Batch Variability & Certificate of Authenticity Each batch of NeoPepp compound is supplied with batch-specific Certificate of Authenticity (COA) documentation issued per shipment. COA references displayed on the website are illustrative; actual COA documentation accompanies each individual shipment. QR codes on vial labels resolve to batch-specific verification pages. Where manufacturer COA upload is pending, the QR resolution displays the batch identifier and a notation that documentation is pending upload. NeoPepp issues actual COA documentation directly upon shipment fulfillment.
6. Analytical Specifications Purity, identity, and storage specifications referenced on the website (including but not limited to RP-HPLC purity verification, ESI-MS identity confirmation, lyophilization, and cold-chain storage) reflect the analytical standards applied to NeoPepp compounds. Specific batch values are documented in the batch-specific COA. Discrepancies between website-published specifications and batch-specific COA values are governed by the batch-specific documentation.
7. Regulatory Status Regulatory status statements published on the website (Health Canada, FDA, EMA, WADA, and other authorities) reflect the regulatory landscape as of the date of publication for the corresponding compound dossier. Regulatory status changes over time. Researchers are responsible for confirming current regulatory status in their jurisdiction at the time of procurement and use. NeoPepp does not warrant that any compound is permitted for procurement, possession, or research use in your specific jurisdiction. You are responsible for compliance with all applicable laws.
8. Procurement, Pricing & Fulfillment Pricing displayed on the website is in Canadian Dollars (CAD) unless otherwise stated and is subject to change. NeoPepp reserves the right to:
Decline any procurement request
Cancel orders where research-use eligibility cannot be verified
Substitute equivalent specifications based on supplier availability
Adjust shipping timelines based on cold-chain logistics requirements All procurement is final upon shipment dispatch except where required by law. Returns are accepted only in cases of demonstrable shipping damage or batch documentation discrepancy, and must be reported within seven (7) days of receipt.
9. Shipping & Cold-Chain NeoPepp ships to addresses verified for institutional or laboratory research. Shipping is conducted under cold-chain protocol where applicable. Recipient is responsible for prompt receipt, inspection, and proper storage upon delivery. NeoPepp is not liable for product degradation resulting from delayed receipt, improper recipient handling, or storage outside documented parameters.
10. Intellectual Property All website content — including but not limited to literature reviews, dossier text, compound documentation, branding elements, imagery, and design — is the intellectual property of NeoPepp. You may not reproduce, redistribute, or commercially exploit website content without written permission. Researchers may reference NeoPepp dossier content in academic publications with appropriate attribution.
11. Limitation of Liability To the fullest extent permitted by law, NeoPepp’s total liability for any claim arising from your use of the website or procurement of compounds is limited to the amount you paid for the specific compound giving rise to the claim. NeoPepp is not liable for indirect, consequential, incidental, special, or punitive damages. NeoPepp expressly disclaims liability for:
Any use of compounds inconsistent with the research-use restriction
Any human or veterinary administration of compounds
Regulatory consequences of researcher non-compliance with applicable laws
Research outcomes, including failed experiments or non-replication
Indirect damages from shipping delays or cold-chain interruption
12. Indemnification You agree to indemnify, defend, and hold harmless NeoPepp and its respective officers, directors, employees, and agents from any claim, demand, loss, damage, cost, or expense (including reasonable legal fees) arising from:
Your use of NeoPepp compounds
Your breach of these Terms
Your violation of applicable laws or regulations
Your administration of NeoPepp compounds to any human or animal subject
13. Governing Law & Jurisdiction These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Disputes shall be resolved in the courts of Ontario.
14. Changes to Terms NeoPepp may update these Terms periodically. Material changes will be communicated via the “Last Updated” date at the top. Continued use of the website constitutes acceptance.
15. Severability If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
